License Agreement


1. Agreement Overview

This agreement represents a Service Level Agreement ("SLA" or "agreement") and the Terms and Conditions between seReive GmbH and its stakeholders for providing services required to support and sustain the product or services of seReive GmbH. This agreement remains valid until superseded by a revised agreement. This agreement outlines the parameters of all services covered as they are mutually understood by the stakeholders. This agreement does not supersede current processes and procedures unless explicitly stated in here.

2. Service Agreement


2.1 The following services are covered by this agreement:

–Manned support
–Email support
–Remote assistance

2.2.User Requirements

User responsibilities and/or requirements in support of this agreement include: –Payment for all service and support costs at the agreed interval and amount. -If a user initially signs up for an account, and does not cancel that account within 3 days, he or she will be billed according to the pricing plan under which the account was created. -The service is billed in advance (monthly or annually) and is non-refundable. There will be no refunds for partial months or years of service. For reasons of fairness and in order to treat everyone equally, no exceptions will be made. -All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and users shall be responsible for payment of all such taxes, levies, or duties. –Availability of user representative(s) when needed to resolve a service related incident or request. –Informing seReive GmbH immediately about any change to the users availability, including changes of E-Mail address, other address details or billing details.

3. Service Management


3.1. Service Availability

SeReive Gmbh cannot guarantee permanent availability of its services, that it will meet users‘ specific requirements, that the service will be timely, secure, or error-free, that the results that may be obtained from the use of the service will be accurate or reliable or that the quality of any products, services, information, or other material purchased or obtained by users through the service will meet users‘ expectations, and that any errors in the service will be corrected. seReive GmbH does not accept any liability for loss of content, no matter what the cause of this loss may be.

3.2. Service Requests

In support of services outlined in this agreement, seReive GmbH‘s responsibilities are limited to meeting response times associated with service related incidents as they have been agreed in writing. Response in this context is limited to establishing a communication with the user, if the user is available.

4. Modifications to the Service and Prices

–SeReive GmbH reserves the right at any time to modify or discontinue (temporarily or permanently) the service (or any part of the service) with or without notice.
–Prices of all services, including but not limited to monthly subscription plan fees to the service, are subject to change upon 30 days notice from seReive GmbH. Such notice may be provided at any time by posting the changes to the seReive website, blog, Twitter or Facebook page or to the service itself or by sending an email to the email-address the user has given to seReive GmbH.
–SeReive GmbH shall not be liable to its users or to any third party for any modification, price change, suspension or discontinuance of the service.

5. Cancellation and Termination

–Users are solely responsible for properly canceling their account.
–All content will be immediately deleted from the service upon cancellation. This information can not be recovered once an account is cancelled.
–SeReive GmbH, in its sole discretion, has the right to suspend or terminate any account and refuse any and all current or future use of any seReive GmbH service, for any reason at any time. Such termination of the service will result in the deactivation or deletion of an account or a user‘s access to his or her account, and the forfeiture and relinquishment of all content in an account. seReive GmbH reserves the right to refuse service to anyone for any reason at any time.

6. Copyright and Content Ownership

–When users use seReive GmbH‘s service, they agree to allow others to view and share their uploaded content upon signing up for the service.
–SeReive GmbH has the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the service.
–The look and feel of the service is copyright 2011 of seReive GmbH. All rights reserved. Users agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, the HTML/CSS or visual design elements, use of the service, or access to the service without the express written permission by seReive GmbH.

7. General Conditions

–Users‘ use of the service is at their sole risk. The service is provided on an "as is" and "as available" basis.
–Technical support is only provided to paying account holders and is in general only available via email.
–Users understand that seReive GmbH uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the service.
–Users must not modify, adapt or hack the service or modify another website so as to falsely imply that it is associated with the service, seReive GmbH, or any other seReive GmbH service.
–SeReive GmbH may, but has no obligation to, remove content and accounts containing content that seReive GmbH determines in their sole discretion as objectionable or violating any party's intellectual property or this agreement.
–Verbal, physical, written or other abuse (including threats of abuse or retribution) of any seReive GmbH user, employee, member, or officer will result in immediate account termination.
–Users understand that the technical processing and transmission of the service and their content may be transferred unencrypted and involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices.
–Users must not upload, post, host, or transmit unsolicited "spam" messages or worms or viruses or any code of a destructive nature.
–Users expressly understand and agree that seReive GmbH shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if seReive GmbH has been advised of the possibility of such damages), resulting from:
-The use or the inability to use the service;
-The cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service;
-Unauthorized access to or alteration of users‘ transmissions or data;
-Statements or conduct of any third party on the service;
-Or any other matter relating to the service.
–The failure of seReive GmbH to exercise or enforce any right or provision of this agreement shall not constitute a waiver of such right or provision. This agreement constitutes the entire agreement between seReive GmbH and its users and governs their use of the service, superseding any prior agreements between them and seReive GmbH (including, but not limited to, any prior agreement).

1 seReive ermöglicht es, meherer Soziale Netzwerke von einer einzigen Website aus zu managen (seReive‘s website). Vom Abo hängt es ab, wieviele Soziale Netzwerke und wieviele Konten pro Netzwerk aufgeschaltet werden können. Zum Beispiel kann man beim Bronze-Abo 2 Facebook Konten, 2 Twitter Konten, 2 LinkedIn Konten usw. aufschalten. Beim Silber-Abo sind es 5 Facebook Konten, 5 Twitter Konten, 5 LinkedIn Konten usw. Mit dem Gold-Abo kann man so viele Facebook Konten aufschalten wie man will, so viele Twitter Konten wie man will, usw.
